These Terms of Service ("Terms") govern your access to and use of the Novadesk AI voice receptionist platform and related services (the "Service") operated by Novadesk ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you confirm that you are at least 18 years old, have the authority to bind the business entity you represent, and agree to comply with these Terms. If you do not agree, do not use the Service.
2. Description of Service
Novadesk provides an AI-powered voice receptionist that answers phone calls on behalf of your business. The Service includes:
- AI voice agents that handle inbound and outbound calls
- Real-time speech-to-text transcription and AI response generation
- Appointment booking and calendar integration
- Call transcripts, analytics, and dashboard access
- Automated workflows (reminders, review collection, lead nurturing)
- Integration with third-party tools (CRM, calendar, billing)
3. Account Registration
- You must provide accurate and complete registration information.
- You are responsible for maintaining the confidentiality of your API keys and account credentials.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately of any unauthorized use of your account.
4. Subscription and Billing
4.1 Plans and Pricing
The Service is offered on a subscription basis with tiered plans (Starter, Pro, Business, Enterprise). Current pricing is available at novadesk.ai/#pricing. All products are bundled into each tier.
4.2 Billing
- Subscriptions are billed monthly in advance via Stripe.
- Overage charges for minutes exceeding your plan's allotment are billed at the per-minute rate specified in your plan.
- All fees are in US dollars and are non-refundable except as required by law or as stated in Section 4.4.
4.3 Free Trial
We may offer a free trial period. At the end of the trial, your subscription will begin unless you cancel before the trial ends. We will notify you before charging.
4.4 Cancellation and Refunds
- You may cancel your subscription at any time through your dashboard or by contacting us.
- Cancellation takes effect at the end of the current billing period.
- No refunds are provided for partial months, except at our sole discretion.
- Upon cancellation, your data will be retained for 30 days, after which it will be deleted.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Make unsolicited calls in violation of the TCPA, TSR, or applicable telemarketing laws
- Transmit fraudulent, misleading, or deceptive content through your AI agent
- Impersonate a human without appropriate disclosure to callers
- Use the Service for illegal robocalling, spam, or harassment
- Attempt to reverse-engineer, decompile, or extract source code from the Service
- Interfere with or disrupt the Service or its infrastructure
- Resell or redistribute the Service without written authorization
- Process protected health information (PHI) without an active Enterprise plan and signed BAA
6. Your Responsibilities
- Caller disclosure: You are responsible for ensuring your AI agent's greeting includes appropriate disclosure that callers are speaking with an AI assistant, as required by applicable laws.
- Consent: You are responsible for obtaining any required consent from callers, including consent for call transcription and outbound calling.
- Accuracy: You are responsible for the accuracy of business information, services, pricing, and policies configured in your AI agent.
- Compliance: You are responsible for compliance with industry-specific regulations applicable to your business (HIPAA, state licensing requirements, etc.).
- Outbound campaigns: When using outbound calling features, you are responsible for compliance with the TCPA, do-not-call regulations, and obtaining prior express consent.
7. Intellectual Property
- The Service, including its software, design, and documentation, is owned by Novadesk and protected by intellectual property laws.
- You retain ownership of your business data, configurations, and knowledge base content.
- You grant us a limited license to use your content solely to provide and improve the Service.
- Call transcripts generated by the Service are your data. We do not use your call transcripts to train shared AI models.
8. AI Limitations and Disclaimer
- The AI agent may occasionally misunderstand callers, provide incorrect information, or fail to handle complex requests.
- The Service is not a substitute for professional advice (medical, legal, financial, etc.).
- You are responsible for reviewing call transcripts and correcting any errors or issues with your agent's responses.
- We do not guarantee that the AI will handle every call perfectly or that no calls will require human follow-up.
9. Service Availability
- We aim for high availability but do not guarantee uninterrupted service.
- Planned maintenance will be communicated in advance when possible.
- Enterprise plan customers receive SLA guarantees as specified in their agreement.
- We are not liable for service interruptions caused by third-party providers (telephony, STT, TTS, LLM providers), internet outages, or force majeure events.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
- WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- IN NO EVENT SHALL NOVADESK BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST BUSINESS OPPORTUNITIES.
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.
- WE ARE NOT LIABLE FOR MISSED CALLS, INCORRECT BOOKINGS, OR BUSINESS LOSSES RESULTING FROM AI AGENT ERRORS.
11. Indemnification
You agree to indemnify and hold harmless Novadesk from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, your violation of applicable laws, or any content or information your AI agent communicates to callers.
12. Termination
- Either party may terminate this agreement at any time.
- We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay fees when due.
- Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days for retrieval, after which it will be permanently deleted.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware.
14. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
15. Miscellaneous
- Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Novadesk.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Failure to enforce a provision does not waive the right to enforce it later.
- Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger or acquisition.
